Terms of Service

1 Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Viraa Technologies ("VibeGyor," "we," "our," or "us") governing your use of the VibeGyor mobile and web applications and any related services (collectively, the "Service").

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2 Description of Service

VibeGyor is an AI-powered content repurposing tool. It surfaces trending topics and uses AI to generate platform-native content from sources you choose to repurpose. The Service allows you to:

• Discover trending topics and public content in a personalised feed.
• Repurpose a source you provide — a topic, a link, a video you own or have the rights to use, or a file — into platform-native drafts: posts, captions, images, AI voiceovers, and short-form video clips edited from your source footage or stock footage.
• Receive drafts tailored for different social media platforms — tone, format, and length optimised for each.
• Review, edit, and post those drafts to the social platforms and channels you connect — always at your explicit direction; we never auto-post.
• Publish your own existing content directly to connected platforms ("Vibes").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3 Eligibility and Accounts

• You must be at least 13 years of age to use VibeGyor.
• You must provide accurate registration information and keep it up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at support@vibegyor.ai if you suspect unauthorised access to your account.
• We may suspend or terminate accounts that violate these Terms.

4 Your Content and Conduct

AI-Generated Content

VibeGyor uses AI to generate platform-native drafts from the content you choose to repurpose. We do not own or claim any rights over the source material, and you are responsible for ensuring you have the rights to repurpose it. The AI-generated drafts produced for your use are yours to post at your discretion.

Ownership Confirmation for Source Footage

When you ask VibeGyor to edit clips from a source video, you will be asked to confirm that you own that video or have the explicit right to repurpose it. This confirmation is recorded, together with the specific source you confirmed, as part of our copyright compliance programme. Confirming ownership of content you do not have rights to is a violation of these Terms and may result in copyright strikes or account restriction (see "Copyright & DMCA" below).

Content You Publish

You are solely responsible for any content you choose to post to social platforms using VibeGyor. Before posting, you confirm that:

• The AI-generated content you post complies with the destination platform's content guidelines.
• The content does not infringe the intellectual property rights of any third party.
• The content complies with the terms of service of the destination platform.
• The content does not violate any applicable law.

Prohibited Conduct

You may not use the Service to:

• Publish spam, misinformation, or content that impersonates another person or entity.
• Infringe intellectual property rights (copyright, trademark) of third parties.
• Harass, abuse, threaten, or harm any individual or group.
• Distribute malware, phishing content, or other harmful code.
• Circumvent or attempt to circumvent rate limits, security controls, or access restrictions.
• Use the Service for any unlawful purpose under applicable law.
• Resell, sublicence, or commercially exploit the Service without our written permission.

Copyright & DMCA

We respect the intellectual property rights of others and expect you to do the same. Our full copyright framework — including how to file a DMCA takedown notice, how to file a counter-notification, and how we handle disputes — is set out in our Copyright Policy, which is incorporated into these Terms by reference.

• Takedown notices: rights holders may report infringing content to copyright@vibegyor.ai. We review and act on valid notices promptly.
• Repeat-infringer policy: we operate a strike system. A first confirmed infringement results in a warning; a second restricts your ability to claim ownership of source footage (stock-only generation); a third or repeated violations result in restriction or termination of your account.
• Ownership records: the ownership confirmations described above form part of the evidence we rely on when handling copyright complaints.

5 Social Platform Integrations

When you connect a social account to VibeGyor:

• You authorise us to store an OAuth access token from that platform, encrypted, on your behalf.
• We will only publish content when you explicitly initiate an action within the app — we do not auto-post.
• You may disconnect any social account at any time via Settings → Connected Accounts. Disconnecting revokes our ability to publish and deletes the stored token.
• Our ability to publish depends on the availability of the platform's API and the permissions you have granted. We make no guarantee of continued API availability.

By connecting a social account, you confirm that you have the right to authorise VibeGyor to publish on your behalf and that doing so does not violate that platform's terms of service.

YouTube API Services

VibeGyor uses YouTube API Services to let you publish videos to your own YouTube channel. By connecting YouTube, you additionally agree to the YouTube Terms of Service, and you acknowledge that Google's use of your information is governed by the Google Privacy Policy. You may revoke VibeGyor's access to your Google/YouTube account at any time via your Google security settings. Our handling of YouTube data is described in our Privacy Policy.

6 AI-Generated Content

• We do not guarantee that AI-generated content is accurate, factual, or fit for any particular purpose.
• AI output may occasionally contain errors, hallucinations, or content you find objectionable. Always review before publishing.
• We are not liable for any consequences arising from publishing unreviewed or inaccurate AI-generated content.
• Copyright ownership of AI-generated content varies by jurisdiction. You assume responsibility for verifying the intellectual property status of any content you publish.

7 Intellectual Property

The VibeGyor name, logo, application design, and all associated technology are owned by Viraa Technologies and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

You may not copy, reverse-engineer, decompile, or create derivative works from any part of the Service without our prior written consent.

8 Privacy

Your use of VibeGyor is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please read it to understand how we collect, use, and protect your data.

9 Subscription and Payments

VibeGyor offers a free tier and paid subscription plans (currently Starter, Creator, and Elite), plus one-time purchases of "coins" — consumable credits spent when you generate content. Current prices, plan limits, and coin amounts are always shown in the app before you purchase.

Billing

• On iOS and Android, purchases are billed through your Apple App Store or Google Play account. On the web, payments are processed by Stripe.
• Subscriptions are billed in advance (monthly or annually) and renew automatically until cancelled. You can cancel at any time via your App Store / Google Play subscription settings or your web billing portal; cancellation takes effect at the end of the current billing period.
• We will provide reasonable notice of any changes to pricing. Price changes never apply retroactively to a period you have already paid for.
• Failure to pay may result in suspension of your access to paid features.

Coins and Metered Usage

• Each generation job costs coins, shown as an estimate before you confirm. Because processing costs depend on the source (for example, the length of a video), the final cost may be adjusted after the job completes — any difference is settled against your coin balance and itemised in the app, and adjustments are capped relative to the estimate.
• Monthly coin grants included with a plan reset each billing cycle and do not roll over unless stated otherwise in the app. Purchased coin packs do not expire while your account is active.
• If a job fails due to a fault in our Service, we credit back the coins for that job. Coins are otherwise non-refundable except where required by law, have no cash value, and are not transferable.

Refunds for App Store or Google Play purchases are handled by Apple/Google under their policies; refunds for web purchases are handled by us in accordance with applicable consumer law.

10 Disclaimers

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• AI-generated content will be accurate, complete, or suitable for publication.
• Third-party social platform APIs will remain available or functional.
• The Service will meet your specific requirements.

11 Limitation of Liability

To the maximum extent permitted by applicable law, Viraa Technologies and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or business opportunities.
• Any damages arising from your reliance on AI-generated content.
• Any actions taken by social platforms in response to content you publish via VibeGyor (including account suspensions by those platforms).

In any case, our total aggregate liability to you for all claims arising from your use of the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $50.

12 Indemnification

You agree to indemnify, defend, and hold harmless Viraa Technologies and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service.
• Content you publish through VibeGyor.
• Your violation of these Terms.
• Your violation of any third party's rights, including intellectual property rights.

13 Termination

You may stop using the Service and delete your account at any time by emailing support@vibegyor.ai.

We may suspend or terminate your access immediately if:

• You violate these Terms.
• Your conduct puts other users or the Service at risk.
• We are required to do so by law.

On termination, your right to use the Service ceases and we will delete your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will do so.

14 Governing Law and Disputes

These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Melbourne, Victoria, Australia.

If you are located in a jurisdiction that does not recognise the above governing law, local mandatory consumer protection laws may apply to you in addition to these Terms.

15 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via an in-app notification and update the "Last updated" date above. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service.

16 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Viraa Technologies regarding the Service and supersede all prior agreements or understandings.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
